1. The Service

These Terms and Conditions ("Terms") govern your use of uTraLink — the website utralink.com and the uTraLink platform for creating, managing and analysing dynamic QR codes, smart links, bio-link pages and related campaigns (the "Service"), operated from Berlin, Germany.

By accessing or using the Service you agree to these Terms. If you use the Service on behalf of an organisation, you accept these Terms on its behalf.

2. Accounts

  • You must provide accurate registration information and keep your credentials confidential.
  • You are responsible for all activity under your account.
  • You must be at least 16 years old to create an account.
  • Notify us immediately at [email protected] of any unauthorised use of your account.

3. Plans, Billing and Trials

  • The Service is offered under free and paid subscription plans as described on the pricing page.
  • Paid subscriptions renew automatically at the end of each billing period unless cancelled before renewal.
  • Prices may change with reasonable notice; changes apply from the next billing period.
  • Payments are processed by third-party payment processors; we do not store full card details.
  • Where a free trial is offered, it converts to a paid plan unless cancelled before the trial ends.

4. Acceptable Use

You may use the Service only for lawful purposes. You must not use QR codes, links or pages created on uTraLink to:

  • Distribute phishing, malware, scams, deceptive redirects or illegal content.
  • Infringe intellectual-property or privacy rights of third parties.
  • Send unsolicited bulk communications or collect data without a lawful basis.
  • Target children with harmful content or violate applicable marketing laws.
  • Probe, scan or disrupt the Service or its infrastructure, or circumvent plan limits.

We may suspend or remove QR codes, links, pages or accounts that violate these rules, in particular where third parties report abuse of a redirect or landing page.

5. Your Content

  • You retain ownership of content you upload or create ("Your Content").
  • You grant us a non-exclusive, worldwide licence to host, process, transmit and display Your Content solely as needed to operate the Service.
  • You are responsible for Your Content and for having the rights to use it — including content reachable through QR codes and links you create.
  • If you collect personal data through our features (e.g. lead forms, scan analytics), you are the data controller for that data and must comply with applicable data-protection law, including providing required notices to your end users.

6. Our Intellectual Property

The Service, its software, design, branding and documentation are owned by uTraLink and its licensors. Except for Your Content, you may not copy, resell or redistribute any part of the Service. You may use generated QR code images and outputs for your own purposes, including commercially.

7. Availability and Changes

We aim for high availability but do not guarantee uninterrupted operation. Dynamic QR codes and links depend on the Service being reachable; we are not liable for printing or distribution decisions you make. We may add, change or discontinue features with reasonable notice where it materially affects you.

8. Third-Party Services

The Service may integrate third-party services (e.g. analytics pixels you configure, payment processors, wallet providers). Their terms apply to their components and we are not responsible for their availability or conduct.

9. Termination

  • You may cancel your account at any time via the dashboard or by contacting support.
  • We may suspend or terminate accounts that breach these Terms, after warning where reasonably possible.
  • On termination, your access ends and we may delete your data per our Privacy Policy. Static QR codes you exported continue to work; dynamic codes and hosted pages may stop resolving.

10. Liability

To the extent permitted by law:

  • We are liable without limitation for intent, gross negligence, and for injury to life, body or health, and under mandatory product-liability law.
  • For simple negligence we are liable only for breach of essential contractual obligations, limited to foreseeable, typical damage.
  • We are not liable for lost profits, indirect or consequential damages except in cases of mandatory liability.
  • The Service is provided "as is" regarding fitness for a particular purpose beyond the express scope of these Terms.

11. Changes to These Terms

We may update these Terms to reflect service or legal changes. We will post the current version on this page and notify registered users of material changes. Continued use after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. Where you are a consumer, mandatory consumer protections of your place of residence remain unaffected. If you are a merchant, the courts of Berlin, Germany have exclusive jurisdiction.
